Terms of Service

DRAFT FOR LEGAL REVIEW. This text has not been reviewed by a lawyer, is not legal advice, and is not in force. Everything in [square brackets] must be completed or removed by the operator and their legal adviser before this is published.

These terms are between [COMPANY LEGAL NAME] ("we", "us") and the business that uses LedgerAI ("you").

1. What LedgerAI is

LedgerAI is accounting software. It lets you record transactions, keep a chart of accounts and a journal, issue and track invoices and bills, and produce reports such as a profit and loss statement, a balance sheet and a trial balance.

It also offers AI features. They suggest journal entries, explain figures and answer questions about your own books. They only propose or explain: nothing is recorded in your books until a person on your team reviews it and approves it.

2. Accounts and who can act for your business

You are responsible for the credentials of the people you give access to, and for what they do in your business's books. Tell us promptly if you think an account has been used without permission.

3. Your records

The records you enter remain yours. We process them to provide the service. A posted journal entry cannot be edited; it is corrected by a reversing entry, so that the history stays complete. You can export your company's records from Business Settings.

4. Accuracy, advice and your own responsibility

Reports are calculated from the entries you and your team post, so they are only as accurate as those entries. AI suggestions can be wrong. You must review every suggestion before approving it, and you remain responsible for your books, your tax filings (including VAT) and your compliance with the law.

LedgerAI does not give accounting, tax or legal advice, and nothing in the product or its AI answers should be taken as such.

5. Acceptable use

You agree not to:

  • use the service to break the law or to record transactions you know to be false;
  • try to access another business's data, or to disrupt or probe the service;
  • send content to the AI features that you do not have the right to share.

6. Availability

[SERVICE AVAILABILITY STATEMENT]

7. Fees

8. Ending your use

You can stop using LedgerAI at any time and export your records first. We may suspend access for a breach of these terms. What happens to your data afterwards is described in the Privacy Policy and in [RETENTION PERIODS].

9. Liability

[LIMITATION OF LIABILITY, TO BE DRAFTED BY COUNSEL]

10. Changes, law and contact

We may change these terms; we will tell you before a change takes effect. These terms are governed by [GOVERNING LAW AND COURTS].
